UPDATED TERMS

We’ve recently updated our: (1) Terms and Conditions and (2) Privacy Policy (collectively, “Terms”). If you signed up for an account prior to May 25, 2018 (“Effective Date“), we’ll ask you to agree to the new Terms when you use BSave on or after the Effective Date. The updated Terms will automatically come into effect for all existing users on May 25, 2018. Your continued use of the BSave Platform from that day on will be subject to the new Terms. Please read these Terms carefully.

TERMS AND CONDITIONS

This User Agreement (“Agreement” or “Terms and Conditions”) is a contract between you (“you,” “your” or “user”) and BSave Ltd., a private limited company incorporated in England and Wales (“BSave,” “we”, “us” or “our”) and applies to your use of the BSave website and all services described herein (collectively, the “BSave Services”).

 

By registering to use the BSave Services through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/terms/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. If certain features of the BSave Services are subject to additional terms, provisions or guidelines, they are incorporated herein by reference.

 

We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement.

To be eligible to use the BSave Services: (i) you must be at least 18 years old (or the applicable age of majority and contractual capacity). By accessing or using the BSave Services you represent and warrant that you are 18 or older; and (ii) you have not previously been suspended or removed from the BSave Site; (iii) you are not a resident of a jurisdiction that prohibits the use of all or any of the BSave Services.

 

  1. Conditions for Opening and Using the BSave Account

 

1.1  In order to use the BSave Services, you must open an account on the BSave Site (the “BSave Account”). Upon opening a BSave Account, you agree to the following terms and conditions:

1.1.1  You will provide accurate, current and complete information and maintain the accuracy of such information at all times.

1.1.2  You will maintain adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services through your BSave Account. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information.

1.1.3  In the event of any unauthorized use of your BSave Account or any other breach of security relating to your BSave Account, you shall immediately contact BSave Support Team at support@BSave.com.

1.1.4 You will be solely liable for your BSave Account and the activities that occur in your BSave Account and accept all risks of unauthorized access and use thereof.

 

1.2  By opening a BSave Account, you confirm that you will not use your BSave Account to do any of the following (“Prohibited Use”):

1.2.1  Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);

1.2.2  Partake in a transaction which involves the proceeds of any unlawful activity;

1.2.3  Partake in any transaction involving online gambling except where permitted by BSave;

1.2.4  Defraud or attempt to defraud BSave or other BSave users;

1.2.5  Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;

1.2.6  Provide false, inaccurate, or misleading information;

1.2.7  Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;

1.2.8  Interfere with another individual’s or entity’s access to or use of any of the BSave Services;

1.2.9  Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity, and intellectual property) of others;

1.2.10  Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;

1.2.11  Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;

1.2.12  Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;

1.2.13  Transfer any rights granted to you under this Agreement;

1.2.14  Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;

1.2.15  Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or

1.2.16  Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

 

1.3  By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items (“Prohibited Business”):

1.3.1 Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services

1.3.2  Gambling, except where permitted by BSave

1.3.3  Sports forecasting or odds-making

1.3.4  Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

1.3.5  Funding any of the items included on this Prohibited Businesses list

1.3.6  Any business that violates any law, statute, ordinance or regulation.

 

1.4  Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

 

1.5  For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

 

1.6  BSave reserves the right to lock or close your BSave Account with no notice deemed as duplicate.

 

1.7  We reserve the right to cancel and/or suspend your BSave Account immediately and without notice, if we determine, in our sole discretion, that your BSave Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate

 

 

  1. The Services

 

2.1  Saving Account – upon depositing Bitcoins in your BSave Account and until you withdraw such Bitcoins from your BSave Account, you hereby authorize, empower and BSave to lend all or part of your Bitcoins, via an external exchange platform (“Platform”), to margin traders. The margin traders will open an order for a loan offer on the Platform (a “Position”) and the Platform will match the margin trader with the best available loan offer (based on the requested margin rate and duration of the loan). The Position will stay open until the margin trader either closes the loan or the maximum duration of the loan is reached. Your BSave Account will be credited daily with a variable Margin Interest (for further details see section 10 below). BSave may cooperate with any number of Platforms, may cease its cooperation with a certain Platform at any time or engage with other Platforms, all at its sole discretion.

 

2.2  Defender – The Bitcoins You deposit in your BSave Account will reflect a certain Bitcoin-USD exchange rate on the date of deposit (the “Original Exchange Rate”). When you choose to withdraw your Bitcoins, You will receive such number of Bitcoins calculated in accordance with the Original Exchange Rate. By way of example, if You deposit 1 Bitcoin at an exchange rate of USD 400 and at withdrawal, the exchange rate has dropped to 1:200, You will receive 2 Bitcoins (as opposed to the 1 Bitcoin you originally deposited).

Upon initiating a hedging transaction under the Defender Service (a “Transaction”) You will be provided with a quoting price which reflects the BTC/USD exchange rate published on the Bitfinex trading platform (the “Exchange Price”) together with a 0.5% service commission (collectively, the “Quoting Price”). Upon finalizing the Transaction an algorithm will immediately verify any fluctuation in the Exchange Price and the final Exchange Price together with the 0.5% service commission will appear on your screen only after the Transaction is completed (the “Closing Price”).

  1. Risks Involved in Using the BSave Services

 

3.1  The inherent risk of loss in trading or holding Bitcoin can be substantial. You should, therefore, be aware of the associated risks and carefully consider whether trading or holding Bitcoin is suitable for you in light of your financial condition.

 

3.2  The legal status of Bitcoin is uncertain. No single institution controls the Bitcoin network and there is no certainty whether or to what extent the Bitcoin will be regulated in the future and if regulated, what will be the implications of such regulations. If a regulatory agency imposes new regulations on Bitcoin, BSave may, in its sole discretion, modify its compliance program to align with the new regulations or perform an orderly shutdown of the BSave Site prior to the new regulations taking effect.

 

3.3  You hereby understand that there are dramatic fluctuations in the price of the Bitcoin and that the Defender Service (see section 2.2 above for further details) only protects against depreciation of the exchange rate of your Bitcoins. In the event of an increase in the Bitcoin exchange rate, You will not be entitled to interest payments.

 

3.4  The Quoting Price is an indicative measure only and due to the fluctuation in the Bitcoin exchange rate, the Closing Price may deviate from the Quoting Price. You will not be entitled to cancel a Transaction on the grounds that the Closing Price varied from the Quoting Price.

 

3.5  Platforms may experience cyber-attacks or other operational or technical difficulties which could result in the immediate halt of trading, deposits, and withdrawals of the Bitcoins either temporarily or permanently. BSave is not and will not be responsible or liable for any loss or damage of any sort incurred by You as a result of such cyber-attacks and/or operational or technical difficulties.

 

3.6  In the event of a Hard Fork (as defined and further explained in section 17 below) that entitles you to a New Currency (as defined in section 17), you are advised to withdraw the Bitcoins from your BSave Account prior to the date of the Hard Fork. BSave is in no way obligated to monitor or maintain balances of New Coins issued to Bitcoin holders upon a Hard Fork or to credit You for the value of such New Coins. In the event you wish to receive New Coins issued upon a Hard Fork, you are advised to withdraw the Bitcoins from your BSave Account prior to the date of the Hard Fork.

 

3.7  Upon withdrawing Bitcoins from your BSave Account you will be required to provide the target address to which you wish to transfer the Bitcoins. In the event that the details you provide are inaccurate, incomplete or misleading your Bitcoins may be permanently lost. Upon withdrawing all or any of your Bitcoins, BSave will not be liable for any loss that results from inaccurate, incomplete or misleading details that You may provide for such transfer.

 

 

  1. Intellectual Property Rights

 

All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo solely to attribute BSave.

 

  1. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

 

5.1  These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

 

5.2  BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

 

5.3  BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

 

 

  1. Privacy Policy

 

Please refer to the BSave Privacy Policy, which forms part of these terms.

 

 

  1. Electronic Records

 

7.1  By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

7.1.1  via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or

7.1.2  by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

 

7.2  From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

 

 

  1. Warranties and Representations

 

8.1  You acknowledge that:

8.1.1  You are authorized to access and use the BSave Site;

8.1.2  If you are using the BSave Site on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;

8.1.3  Your use of the BSave Site and the BSave Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the BSave Site and the BSave Service;

8.1.4  You represent and warrant that you will not use the BSave Site if the laws of your jurisdiction prohibit you from doing so.

8.1.5  BSave is not responsible for determining whether or which laws may apply to your transactions, including tax law. You are solely responsible for paying any taxes arising from your use of the BSave Services.

 

 

  1. Disclaimer of Warranties

 

9.1  The BSave Services are provided on an “as is” basis, without warranties of any kind, either express or implied. BSave gives no warranty in connection with the BSave Site and/or the BSave Services. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

 

9.2  BSave disclaims all warranties, express or implied, including without limitation, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement with respect to the BSave Site and the BSave Services.

 

9.3  BSave does not represent or warrant that the use of the BSave Site and/or the BSave Services will be uninterrupted or error-free. Among other things, the operation and availability of the systems used for accessing the BSave Site, computer networks, the Platforms and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the BSave Site.

 

9.4  BSave is not in any way responsible for any such interference that prevents your access or use of the BSave Site and the BSave Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from using the Service will be accurate or reliable.

 

9.5  BSave may modify or discontinue any portion of the BSave Services at any time and will not be liable to you or any third party for any modification or termination of the BSave Services, or suspension or termination of your access to the BSave Services.

 

 

  1. Profit Participation; Withdrawal and Transaction Fees

 

Savings Account

10.1  In consideration for lending the Bitcoins You deposited in your BSave Account to margin traders via a Platform (see section 2.1 for a description of the Savings Account service), your BSave Account will be credited daily with a variable interest payment generated from the margin trade of the applicable Position (the “Margin Interest”), which is credited in bits only (each bit is one millionth of a Bitcoin). The Margin Interest varies according to the applicable loan offer and is mainly determined according to, the amount of Bitcoins deposited in your BSave Account, the requested margin rate, the duration of the position and the loan margin market rate.

 

10.2  Interest payments can only be made by direct deposit to the BSave Account holder’s self-designated bitcoin address.

 

10.3  Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

 

10.4  BSave only credits Margin Interest. BSave is in no way obligated to credit You with new coins that may be issued upon a Fork or credit you for the value of such new coins.

 

10.5  You may request a withdrawal at any time if the amount requested is within your BSave Account balance and is more than 0.01 BTC. Any Bitcoins you withdraw from your BSave Account will be transferred to the target address you provide. Withdrawals are processed in several batches during any 24-hour period and will be normally returned to the BSave account’s self-designated address within 24 hours.

 

10.6  Withdrawing Bitcoins from your BSave Account or transferring Bitcoins to your BSave Account from the BSave platform may be subject to transaction fees. A fee price per transaction depends on a number of factors, including the amount of data that makes up a certain transaction and the amount of activity on the Blockchain at the time of such transaction (“Transaction Fee”). BSave reserves the right at its sole discretion and you hereby authorize BSave to deduct up to the amount of your Transaction Fees from your BSave Account (for more details on the Transaction Fees, please visit our FAQ page at [www.bsave.io/help-center/]).

 

 

  1. Indemnification

 

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its affiliates and each of their officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the BSave Siteand/or BSave Services; (ii) your violation of any term of these Terms and Conditions; or (iii) your violation of any law, rule or regulation, or any third party right. This defense and indemnification obligation will survive these Terms and Conditions and your use of the BSave Service.

 

  1. Limitation of Liability

 

In no event shall BSave be liable for any damages whatsoever including, but not limited to, indirect, special, incidental or consequential damages of any kind, whether in an action of contract, negligence or other tortious actions resulting from or arising out of (i) the BSave Service, (ii) the use or inability to use the BSave Service, (iii) the use or reliance on any content displayed or associated with the BSave Service; or (iv) any loss of revenue, income, profits or anticipated savings, or loss or corruption of information or data, regardless of whether Bsave has been advised of the possibility of such damages.

In no event shall BSave’s liability under these Terms and Conditions and/or in connection with the Service, exceed the aggregate amount of the commission actually paid by You to BSave in consideration for the BSave Services as provided to You hereunder.

This limitation in liability includes, but is not limited to, any damage to computer equipment and computer systems caused by virus, malware and any other harmful computer coding.

 

 

  1. Termination of Services

 

13.1  If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

 

13.2  We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

 

 

  1. Absence of Waiver

 

Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

 

  1. Force Majeure

 

We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

 

  1. Survival

 

All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

 

  1. Blockchain Hard Fork

 

17.1  The blockchain may undergo software updates from time to time, which will result in a permanent divergence in the blockchain (a “Hard Fork”). This means that the cryptocurrency will be effectively split into two separate independent currencies, the legacy currency and a newly issued currency, which is issued to those holders of the legacy currency on the date of the Hard Fork (the “New Currency”).

 

17.2  Due to the administrative complexity of distributing and splitting a hard-forked currency in our system, support and distribution of any New Currency is solely at the discretion of BSave. If we make no public announcement regarding an attempted Hard Fork, we will not support and distribute the New Currency. In the event that a Hard Fork has a wide consensus among the community and businesses, it is possible that we will only support the New Currency and will discontinue our support of the legacy currency.

 

 

  1. Governing Law

 

18.1  This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 18.2 of this Agreement.

 

18.2  All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;
  15. Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or
  16. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

1.3 The following categories of businesses, business practices, and sale items are barred from BSave Services (“Prohibited Businesses”). By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items:

  1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services
  2. Gambling, except where permitted by BSave
  3. Sports forecasting or odds making
  4. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same
  5. Funding any of the items included on this Prohibited Businesses list
  6. Any business that violates any law, statute, ordinance or regulation

1.4 Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

1.5 For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

1.6 BSave reserves the right to lock or close accounts with no notice deemed as duplicate.

2. Intellectual Property Rights

2.1 All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo (“BSave Marks”) solely to attribute BSave.

3. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

3.1 These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

3.2 BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists.

BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate. In addition, BSave reserves the right to perform due diligence checks against the identification and verification of its users.

3.3 BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

3.4 BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

4. Privacy Policy

4.1 Please refer to the BSave Privacy Policy, which forms part of these terms.

5. Electronic Records

5.1 By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

(a) via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
5.2 From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

6. Warranties and Representations

6.1 You acknowledge that:

  1. You are authorized to access and use the Website;
  2. If you are using the Website on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;
  3. Your use of the Website and the Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the Website and Service;

7. Service Performance

7.1 BSave gives no warranty about the Website. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

7.2 BSave does not warrant that the use of the Website will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Website, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. BSave is not in any way responsible for any such interference that prevents your access or use of the Website and the Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from the user of the Service will be accurate or reliable.

8. Profit Participation

8.1 A variable interest payment is paid on the funds deposited in your BSave account. Scheduled interest payment may be a single (1) bit. The variable interest is dependent upon several factors, including, but not limited to, the amount of funds deposited in your BSave account, the duration of deposit, and the loan margin market rate.

8.2 Interest payments can only be made by direct deposit to the BSave account holder’s self designated bitcoin address.

8.3 Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

8.4 You may request a withdrawal at any time if the amount requested is within your BSave account balance and is more than 0.01 BTC. Withdrawals can only be made to the BSave account holder’s self designated Bitcoin address. Withdrawals are processed in several batches during any 24 hour period and will be normally returned to the BSave account’s self designated address within 24 hours.

9. Indemnification

9.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Website and/or Services; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third party right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

10. Limitation of Liability

10.1 In no event will BSave, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) or interruption of use or loss or corruption of data. BSave shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

11. Termination & Remedies for Breach of these Terms by You

11.1 If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

11.2 We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. We reserve the right to cancel and/or suspend your BSave Account immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate.

12. Absence of Waiver

12.1 Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

13. Force Majeure

13.1 We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

14. Survival

14.1 All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

15. Blockchain hard fork

A blockchain hard fork is defined as a permanent divergence in the blockchain that occurs when nodes follow different consensus rules. This means that a crypto currency will be effectively split into two separate independent currencies. Due to the administrative complexity of distributing and splitting a hard forked currency in our system, support of any forked currency is solely at the discretion of Bsave. If we make no public announcement regarding an attempted fork, we will not support and distribute the new currency. In the event that a hard fork has a significant consensus among the community and businesses, it is also possible that we only support the hard forked currency and do not support the legacy currency anymore.

If our customers wish to split their tokens after such a hard fork, it is necessary that they withdraw their funds prior to the fork date. We are neither liable for any damages resulting from a hard fork, nor will we return any funds accidentally deposited from a currency that our system does not support.

16. Governing Law

15.1 This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

15.2 All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

This User Agreement (“Agreement” or “Terms and Conditions”) is a contract between you (“you,” “your” or “user”) and BSave a private limited company incorporated in England and Wales (“BSave,” “we”, “us” or “our”) and applies to your use of the BSave website and all services described herein (collectively, the “BSave Services”).

By registering to use BSave through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/privacy-and-policy/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. If certain features of the BSave Services are subject to additional terms, provisions or guidelines, they are incorporated herein by reference.

We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement. We may (a) modify or discontinue any portion of the BSave Services and (b) suspend or terminate your access to the BSave Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the BSave Services, or suspension or termination of your access to the BSave Services, except to the extent otherwise expressly set forth herein.

To be eligible to use the BSave Services, you must be at least 18 years old (or the applicable age of majority and contractual capacity). By accessing or using the BSave Services you represent and warrant that you are 18 or older.

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;
  15. Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or
  16. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

1.3 The following categories of businesses, business practices, and sale items are barred from BSave Services (“Prohibited Businesses”). By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items:

  1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services
  2. Gambling, except where permitted by BSave
  3. Sports forecasting or odds making
  4. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same
  5. Funding any of the items included on this Prohibited Businesses list
  6. Any business that violates any law, statute, ordinance or regulation

1.4 Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

1.5 For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

1.6 BSave reserves the right to lock or close accounts with no notice deemed as duplicate.

2. Intellectual Property Rights

2.1 All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo (“BSave Marks”) solely to attribute BSave.

3. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

3.1 These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

3.2 BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists.

BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate. In addition, BSave reserves the right to perform due diligence checks against the identification and verification of its users.

3.3 BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

3.4 BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

4. Privacy Policy

4.1 Please refer to the BSave Privacy Policy, which forms part of these terms.

5. Electronic Records

5.1 By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

(a) via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
5.2 From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

6. Warranties and Representations

6.1 You acknowledge that:

  1. You are authorized to access and use the Website;
  2. If you are using the Website on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;
  3. Your use of the Website and the Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the Website and Service;

7. Service Performance

7.1 BSave gives no warranty about the Website. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

7.2 BSave does not warrant that the use of the Website will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Website, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. BSave is not in any way responsible for any such interference that prevents your access or use of the Website and the Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from the user of the Service will be accurate or reliable.

8. Profit Participation

8.1 A variable interest payment is paid on the funds deposited in your BSave account. Scheduled interest payment may be a single (1) bit. The variable interest is dependent upon several factors, including, but not limited to, the amount of funds deposited in your BSave account, the duration of deposit, and the loan margin market rate.

8.2 Interest payments can only be made by direct deposit to the BSave account holder’s self designated bitcoin address.

8.3 Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

8.4 You may request a withdrawal at any time if the amount requested is within your BSave account balance and is more than 0.01 BTC. Withdrawals can only be made to the BSave account holder’s self designated Bitcoin address. Withdrawals are processed in several batches during any 24 hour period and will be normally returned to the BSave account’s self designated address within 24 hours.

9. Indemnification

9.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Website and/or Services; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third party right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

10. Limitation of Liability

10.1 In no event will BSave, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) or interruption of use or loss or corruption of data. BSave shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

11. Termination & Remedies for Breach of these Terms by You

11.1 If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

11.2 We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. We reserve the right to cancel and/or suspend your BSave Account immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate.

12. Absence of Waiver

12.1 Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

13. Force Majeure

13.1 We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

14. Survival

14.1 All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

15. Blockchain hard fork

A blockchain hard fork is defined as a permanent divergence in the blockchain that occurs when nodes follow different consensus rules. This means that a crypto currency will be effectively split into two separate independent currencies. Due to the administrative complexity of distributing and splitting a hard forked currency in our system, support of any forked currency is solely at the discretion of Bsave. If we make no public announcement regarding an attempted fork, we will not support and distribute the new currency. In the event that a hard fork has a significant consensus among the community and businesses, it is also possible that we only support the hard forked currency and do not support the legacy currency anymore.

If our customers wish to split their tokens after such a hard fork, it is necessary that they withdraw their funds prior to the fork date. We are neither liable for any damages resulting from a hard fork, nor will we return any funds accidentally deposited from a currency that our system does not support.

16. Governing Law

15.1 This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

15.2 All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

This User Agreement (“Agreement” or “Terms and Conditions”) is a contract between you (“you,” “your” or “user”) and BSave a private limited company incorporated in England and Wales (“BSave,” “we”, “us” or “our”) and applies to your use of the BSave website and all services described herein (collectively, the “BSave Services”).

By registering to use BSave through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/privacy-and-policy/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement. We may (a) modify or discontinue any portion of the BSave Services and (b) suspend or terminate your access to the BSave Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. 15. Blockchain hard fork

A blockchain hard fork is defined as a permanent divergence in the blockchain that occurs when nodes follow different consensus rules. This means that a crypto currency will be effectively split into two separate independent currencies. Due to the administrative complexity of distributing and splitting a hard forked currency in our system, support of any forked currency is solely at the discretion of Bsave. If we make no public announcement regarding an attempted fork, we will not support and distribute the new currency. In the event that a hard fork has a significant consensus among the community and businesses, it is also possible that we only support the hard forked currency and do not support the legacy currency anymore.

If our customers wish to split their tokens after such a hard fork, it is necessary that they withdraw their funds prior to the fork date. We are neither liable for any damages resulting from a hard fork, nor will we return any funds accidentally deposited from a currency that our system does not support.

16. Governing Law

15.1 This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

15.2 All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

This User Agreement (“Agreement” or “Terms and Conditions”) is a contract between you (“you,” “your” or “user”) and BSave a private limited company incorporated in England and Wales (“BSave,” “we”, “us” or “our”) and applies to your use of the BSave website and all services described herein (collectively, the “BSave Services”).

By registering to use BSave through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/privacy-and-policy/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. If certain features of the BSave Services are subject to additional terms, provisions or guidelines, they are incorporated herein by reference.

We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement. We may (a) modify or discontinue any portion of the BSave Services and (b) suspend or terminate your access to the BSave Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the BSave Services, or suspension or termination of your access to the BSave Services, except to the extent otherwise expressly set forth herein.

To be eligible to use the BSave Services, you must be at least 18 years old (or the applicable age of majority and contractual capacity). By accessing or using the BSave Services you represent and warrant that you are 18 or older.

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;
  15. Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or
  16. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

1.3 The following categories of businesses, business practices, and sale items are barred from BSave Services (“Prohibited Businesses”). By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items:

  1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services
  2. Gambling, except where permitted by BSave
  3. Sports forecasting or odds making
  4. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same
  5. Funding any of the items included on this Prohibited Businesses list
  6. Any business that violates any law, statute, ordinance or regulation

1.4 Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

1.5 For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

1.6 BSave reserves the right to lock or close accounts with no notice deemed as duplicate.

2. Intellectual Property Rights

2.1 All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo (“BSave Marks”) solely to attribute BSave.

3. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

3.1 These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

3.2 BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists.

BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate. In addition, BSave reserves the right to perform due diligence checks against the identification and verification of its users.

3.3 BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

3.4 BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

4. Privacy Policy

4.1 Please refer to the BSave Privacy Policy, which forms part of these terms.

5. Electronic Records

5.1 By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

(a) via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
5.2 From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

6. Warranties and Representations

6.1 You acknowledge that:

  1. You are authorized to access and use the Website;
  2. If you are using the Website on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;
  3. Your use of the Website and the Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the Website and Service;

7. Service Performance

7.1 BSave gives no warranty about the Website. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

7.2 BSave does not warrant that the use of the Website will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Website, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. BSave is not in any way responsible for any such interference that prevents your access or use of the Website and the Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from the user of the Service will be accurate or reliable.

8. Profit Participation

8.1 A variable interest payment is paid on the funds deposited in your BSave account. Scheduled interest payment may be a single (1) bit. The variable interest is dependent upon several factors, including, but not limited to, the amount of funds deposited in your BSave account, the duration of deposit, and the loan margin market rate.

8.2 Interest payments can only be made by direct deposit to the BSave account holder’s self designated bitcoin address.

8.3 Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

8.4 You may request a withdrawal at any time if the amount requested is within your BSave account balance and is more than 0.01 BTC. Withdrawals can only be made to the BSave account holder’s self designated Bitcoin address. Withdrawals are processed in several batches during any 24 hour period and will be normally returned to the BSave account’s self designated address within 24 hours.

9. Indemnification

9.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Website and/or Services; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third party right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

10. Limitation of Liability

10.1 In no event will BSave, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) or interruption of use or loss or corruption of data. BSave shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

11. Termination & Remedies for Breach of these Terms by You

11.1 If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

11.2 We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. We reserve the right to cancel and/or suspend your BSave Account immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate.

12. Absence of Waiver

12.1 Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

13. Force Majeure

13.1 We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

14. Survival

14.1 All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

16. Governing Law

All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

UPDATED TERMS

We’ve recently updated our: (1) Terms and Conditions and (2) Privacy Policy (collectively, “Terms”). If you signed up for an account prior to May 25, 2018 (“Effective Date“), we’ll ask you to agree to the new Terms when you use BSave on or after the Effective Date. The updated Terms will automatically come into effect for all existing users on May 25, 2018. Your continued use of the BSave Platform from that day on will be subject to the new Terms. Please read these Terms carefully.

(“BSave”, “we”, “us” and “our”) is committed to protecting the privacy of those who visit our website at https://www.bsave.io/ (the “Site”) and those who register for the services we offer on the Site as described by the Terms of Use at https://www.bsave.io/terms/ (the “Services” and the “Terms of Use”).   This Policy describes the information we collect, how we use and disclose such information and the measures we implement in order to maintain and protect the information.  For the purposes of applicable EU data protection laws and unless otherwise stated, we are the data controller and we are responsible for the collection and use of your Personal Information (as defined below).

 

THE INFORMATION WE COLLECT

If you chose to register to our Services, you will be required to create an account and provide us with some Personal Identifiable Information, such as your name, email address and phone number. Furthermore, when you decide to withdraw your Bitcoins from your account, you will be required to provide us with the target address to which you wish to transfer the Bitcoins.

 

While using our Site and Services, we may also automatically collect information that your browser sends whenever you visit our Site. Such information may include your IP address, the type of device and operating system you are using, the domain from which you are visiting, language information and additional information with respect to your usage.

We may also request you to provide additional personal identifiable information and KYC information such as: taxpayer or government identification number, a copy of your government-issued identification, copies of utility bills, date of birth and any other proof of your identity as we may request, all as may be required by any applicable law and regulations.

(Some of the information collected which is Personal Identifiable Information is hereinafter referred to as “Personal Information”).

In general, users are not obligated by law to provide us with any information. However, without providing it you will not be able to receive the Services, which require registration and provision of Personal Information, as further detailed above. We will only process Personal Information upon your consent, or where it is necessary to comply with legal obligations which we are subject to (such as compliance with anti-laundering laws), or where we have a legitimate interest to process data, providing such processing does not override your fundamental rights and freedoms.

 

We also collect non-descriptive, non-identifiable statistical information about how many visitors use our Services, how our users use the Services and what Services our users are accessing (the “Aggregated Information”).

 

We also record the transactions made via the Services, such as the amount of Bitcoins you deposit and withdraw, the amount of interest gained, the withdrawal destination address, etc., and any additional information you may disclose to our customer support team through our email address at support@bsave.io. (“Transactions“).

 

USE OF COOKIES, WEB BEACONS AND OTHER TRACKING TOOLS

We and our third party service providers collect information about you, your device, and your use of the Service through cookies, clear gifs (a.k.a. web beacons/web bugs) (“Web Beacons”), and other tracking tools and technological methods (collectively, “Tracking Tools”). Tracking Tools collect information such as computer or device operating system type, IP address, browser type, browser language, mobile device ID, device hardware type, the website or application visited or used before or after accessing our Service, the parts of the Service accessed, the length of time spent on a page or using a feature, and access times for a webpage or feature. These Tracking Tools help us learn more about our users and analyze how users use the Service, such as how often users visit our Service, what features they use, what pages they visit, what emails they open, and what other sites or applications they used prior to and after visiting the Service. Some of our Services may also include social media features, such as the Facebook “like” button, and widgets, such as the “share this” button. These social media features that collect certain information are either hosted by a third party or hosted directly on our Site and your interactions with these features are governed by the privacy policy and other policies of the companies providing them.

HOW WE PROTECT AND STORE PERSONAL INFORMATION

BSave uses reasonable organizational and technical security measures designed to protect your personal information from loss, misuse, unauthorized access, disclosure, alteration, and destruction, including without limitation firewall, data encryption technologies, authentication tools and information access controls. Note however that no data transmitted over the Internet is 100% secure and any information disclosed online can potentially be collected and used by unauthorized third parties. Therefore, although we use reasonable efforts to protect your information, we cannot guarantee the security of any information you provide us. If you know or have reason to believe that your BSave Account credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your BSave Account, please contact us following the instructions in the Contact Us section below.

 

HOW WE USE THE INFORMATION

We use the information listed above to:

  • Provide you with the requested Services and transactions.
  • Operation and improvement of the Site and our business and Services and to customize your user experience.
  • Provide you customer service, including responding to your questions, feedback and complaints.
  • Correspond with you on Service related issues.
  • Protection from fraud or security threats.
  • Compliance with applicable laws and regulations, including reports to Anti Money Laundering Authorities.

 

We may use the email address to send User information and updates pertaining to their order. It may also be used to respond to their inquiries, questions, and/or other requests. If User decides to opt-in to our mailing list, they will receive emails that may include company news, updates, Service information (including marketing, promotions, contests, surveys), etc. If at any time the User would like to unsubscribe from receiving future emails, we include detailed unsubscribe instructions at the bottom of each email.

 

Furthermore, we use Aggregated Information for statistical analysis of how users make use of the Services so we can also better improve the quality of our Services and customize your user experience.

 

We will not use your Personal Information for purposes other than those set out in this Policy, without your prior explicit consent. From time to time we may request your consent to share your Personal Information with third parties and to that extent we will provide you with the necessary information.

For the avoidance of doubt, we will not sell or rent your Personal Information to third parties for their marketing purposes without your explicit consent.

 

MINORS

BSave does not knowingly collect information from or about any individual who is under 13 years of age or knowingly allows children under the age of 13 to register for our Services. If you are under 13, do not register or attempt to register for any of our Services or send information about yourself to us. If we learn that we have collected or have been sent Personal Information from a child under the age of 13, we reserve the right to delete such Personal Information as soon as reasonably practical. SHARING YOUR PERSONAL INFORMATION

We may disclose your Personal Information to third parties in the following ways:

  • At your direction.
  • To hosting providers or cloud platforms.
  • To service providers that support the operation and maintenance of our Services.
  • To comply with law or a legal proceeding (including court or government order to subpoena), to detect, prevent, or otherwise address fraud, security or technical issues and to enforce this Policy and/or our Terms of Use.
  • In the event we are involved in or subject to, a merger, acquisition, change of control, financing or sale of business or assets, information collected from you may be transferred to one or more third parties involved in such transaction, and, upon such transfer, the relevant third-party privacy policy or policies may govern further use of the information.

 

We may share generic aggregated demographic information not linked to any personal identification information regarding visitors and users with our business partners, trusted affiliates and advertisers for the purposes outlined above.

  

TRANSFERRING YOUR PERSONAL INFORMATION OVERSEAS

Any Personal Information which we may collect may be transferred to, processes and stored at destinations outside your territory and/or outside of the European Economic Area (“EEA”), where your Personal Information may not be protected by the same standards. By using the Site and the Services, you explicitly consent to such transfer and use of Personal Information outside your territory, for the following reasons:

  • Where our hosting provider or cloud platform is outside your territory or outside the EEA.
  • If necessary for providing you with the Services you request.

 

HOW YOU CAN ACCESS, CHANGE OR DELETE YOUR PERSONAL INFORMATION

You may have a legal right under certain applicable laws (for instance if the User is an E.U. citizen) to receive, rectify, erase, and restrict the Personal Information that we collect, to object to processing and, if processing occurs based on consent, to withdraw your consent.

Should you wish to modify, delete or retrieve your Personal Information collected through the Site, you may do so by contacting us at the address detailed below. We shall verify your request and then make efforts to respond within 90 days, however, deletion of data may take longer.

For any request or question regarding deletion or amendment of Personal Information, you can contact our Data Protection Officer at the contact details listed below and we shall make efforts to respond and support your request.

We will retain your information only for as long as required to provide you the Services and as necessary to comply with our legal obligations, resolve disputes and enforce our agreements. Subject to the above, once your account is deleted, we will delete all your Personal Information other than the Personal Information required to maintain the log that records the Transactions.

 

Under some jurisdictions (such as under certain E.U. regulations), a user has a right to withdraw its consent at any time. In such a case, the withdrawal will not affect the lawfulness of processing based on consent before its withdrawal.

WHICH INFORMATION DO WE COLLECT?

While using our site and services, we will collect non-personal identifying information, such as the type of device and operating system you are using as well as the GEO and your preferred language. If you create an account or use BSave Services, we, or our affiliate vendors acting on our behalf, may collect the following types of information:

    You create a BSave account providing your your first name, your last name,email address and password.

 

  • Financial Information

Through your exercise of our Services, we naturally collect information concerning your use of BSave. This information includes the amount you deposit in your BSave account, the amount you withdraw, when these transactions take place, the amount of interest paid to you, and when the interest is paid. We may require you to provide additional information which we may use in collaboration with service providers acting on our behalf to verify your identity or address, and/or to manage risk. This information may include your date of birth, taxpayer or government identification number, a copy of your government-issued identification, or other personal information. We store our customers’ personal information securely throughout the life of the customer’s BSave Account. BSave will retain your personal information for as necessary to comply with our legal obligations or resolve disputes (as specified below).

 

HOW WE USE THE PERSONAL INFORMATION WE COLLECT

Our primary purpose in collecting personal information is to provide you with a secure, smooth, efficient, and customized experience. We may use your personal information to:

  • Provide BSave Services and customer support you request
  • Process transactions and send notices about your transactions;
  • Resolve disputes, collect fees, and troubleshoot problems;
  • Prevent and investigate potentially prohibited or illegal activities, and/or violations of our posted user terms;
  • Customize, measure, and improve BSave Services and the content and layout of our website and applications;

If you close your BSave account, we will mark your account in our database as “Closed,” but will keep your account information in our database for a period of time described above. This is necessary in order to deter fraud, by ensuring that persons who try to commit fraud will not be able to avoid detection simply by closing their account and opening a new account. However, if you close your account, your personally identifiable information will not be used by us for any further purposes, nor sold or shared with third parties, except as necessary to prevent fraud and assist law enforcement, as required by law, or in accordance with this Privacy Policy. This User Agreement (“Agreement” or “Terms and Conditions”) is a contract between you (“you,” “your” or “user”) and BSave a private limited company incorporated in England and Wales (“BSave,” “we”, “us” or “our”) and applies to your use of the BSave website and all services described herein (collectively, the “BSave Services”).

By registering to use BSave through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/privacy-and-policy/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. If certain features of the BSave Services are subject to additional terms, provisions or guidelines, they are incorporated herein by reference.

We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement. We may (a) modify or discontinue any portion of the BSave Services and (b) suspend or terminate your access to the BSave Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the BSave Services, or suspension or termination of your access to the BSave Services, except to the extent otherwise expressly set forth herein.

To be eligible to use the BSave Services, you must be at least 18 years old (or the applicable age of majority and contractual capacity). By accessing or using the BSave Services you represent and warrant that you are 18 or older.

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;
  15. Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or
  16. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

1.3 The following categories of businesses, business practices, and sale items are barred from BSave Services (“Prohibited Businesses”). By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items:

  1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services
  2. Gambling, except where permitted by BSave
  3. Sports forecasting or odds making
  4. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same
  5. Funding any of the items included on this Prohibited Businesses list
  6. Any business that violates any law, statute, ordinance or regulation

1.4 Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

1.5 For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

1.6 BSave reserves the right to lock or close accounts with no notice deemed as duplicate.

2. Intellectual Property Rights

2.1 All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo (“BSave Marks”) solely to attribute BSave.

3. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

3.1 These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

3.2 BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists.

BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate. In addition, BSave reserves the right to perform due diligence checks against the identification and verification of its users.

3.3 BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

3.4 BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

4. Privacy Policy

4.1 Please refer to the BSave Privacy Policy, which forms part of these terms.

5. Electronic Records

5.1 By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

(a) via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
5.2 From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

6. Warranties and Representations

6.1 You acknowledge that:

  1. You are authorized to access and use the Website;
  2. If you are using the Website on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;
  3. Your use of the Website and the Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the Website and Service;

7. Service Performance

7.1 BSave gives no warranty about the Website. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

7.2 BSave does not warrant that the use of the Website will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Website, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. BSave is not in any way responsible for any such interference that prevents your access or use of the Website and the Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from the user of the Service will be accurate or reliable.

8. Profit Participation

8.1 A variable interest payment is paid on the funds deposited in your BSave account. Scheduled interest payment may be a single (1) bit. The variable interest is dependent upon several factors, including, but not limited to, the amount of funds deposited in your BSave account, the duration of deposit, and the loan margin market rate.

8.2 Interest payments can only be made by direct deposit to the BSave account holder’s self designated bitcoin address.

8.3 Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

8.4 You may request a withdrawal at any time if the amount requested is within your BSave account balance and is more than 0.01 BTC. Withdrawals can only be made to the BSave account holder’s self designated Bitcoin address. Withdrawals are processed in several batches during any 24 hour period and will be normally returned to the BSave account’s self designated address within 24 hours.

9. Indemnification

9.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Website and/or Services; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third party right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

10. Limitation of Liability

10.1 In no event will BSave, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) or interruption of use or loss or corruption of data. BSave shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

11. Termination & Remedies for Breach of these Terms by You

11.1 If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

11.2 We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. We reserve the right to cancel and/or suspend your BSave Account immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate.

12. Absence of Waiver

12.1 Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

13. Force Majeure

13.1 We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

14. Survival

14.1 All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

15. Blockchain hard fork

A blockchain hard fork is defined as a permanent divergence in the blockchain that occurs when nodes follow different consensus rules. This means that a crypto currency will be effectively split into two separate independent currencies. Due to the administrative complexity of distributing and splitting a hard forked currency in our system, support of any forked currency is solely at the discretion of Bsave. If we make no public announcement regarding an attempted fork, we will not support and distribute the new currency. In the event that a hard fork has a significant consensus among the community and businesses, it is also possible that we only support the hard forked currency and do not support the legacy currency anymore.

If our customers wish to split their tokens after such a hard fork, it is necessary that they withdraw their funds prior to the fork date. We are neither liable for any damages resulting from a hard fork, nor will we return any funds accidentally deposited from a currency that our system does not support.

16. Governing Law

15.1 This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

15.2 All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;
  15. Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or
  16. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

1.3 The following categories of businesses, business practices, and sale items are barred from BSave Services (“Prohibited Businesses”). By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items:

  1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services
  2. Gambling, except where permitted by BSave
  3. Sports forecasting or odds making
  4. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same
  5. Funding any of the items included on this Prohibited Businesses list
  6. Any business that violates any law, statute, ordinance or regulation

1.4 Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

1.5 For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

1.6 BSave reserves the right to lock or close accounts with no notice deemed as duplicate.

2. Intellectual Property Rights

2.1 All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo (“BSave Marks”) solely to attribute BSave.

3. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

3.1 These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

3.2 BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists.

BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate. In addition, BSave reserves the right to perform due diligence checks against the identification and verification of its users.

3.3 BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

3.4 BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

4. Privacy Policy

4.1 Please refer to the BSave Privacy Policy, which forms part of these terms.

5. Electronic Records

5.1 By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

(a) via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
5.2 From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

6. Warranties and Representations

6.1 You acknowledge that:

  1. You are authorized to access and use the Website;
  2. If you are using the Website on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;
  3. Your use of the Website and the Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the Website and Service;

7. Service Performance

7.1 BSave gives no warranty about the Website. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

7.2 BSave does not warrant that the use of the Website will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Website, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. BSave is not in any way responsible for any such interference that prevents your access or use of the Website and the Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from the user of the Service will be accurate or reliable.

8. Profit Participation

8.1 A variable interest payment is paid on the funds deposited in your BSave account. Scheduled interest payment may be a single (1) bit. The variable interest is dependent upon several factors, including, but not limited to, the amount of funds deposited in your BSave account, the duration of deposit, and the loan margin market rate.

8.2 Interest payments can only be made by direct deposit to the BSave account holder’s self designated bitcoin address.

8.3 Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

8.4 You may request a withdrawal at any time if the amount requested is within your BSave account balance and is more than 0.01 BTC. Withdrawals can only be made to the BSave account holder’s self designated Bitcoin address. Withdrawals are processed in several batches during any 24 hour period and will be normally returned to the BSave account’s self designated address within 24 hours.

9. Indemnification

9.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Website and/or Services; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third party right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

10. Limitation of Liability

10.1 In no event will BSave, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) or interruption of use or loss or corruption of data. BSave shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

11. Termination & Remedies for Breach of these Terms by You

11.1 If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

11.2 We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. We reserve the right to cancel and/or suspend your BSave Account immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate.

12. Absence of Waiver

12.1 Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

13. Force Majeure

13.1 We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

14. Survival

14.1 All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

15. Blockchain hard fork

A blockchain hard fork is defined as a permanent divergence in the blockchain that occurs when nodes follow different consensus rules. This means that a crypto currency will be effectively split into two separate independent currencies. Due to the administrative complexity of distributing and splitting a hard forked currency in our system, support of any forked currency is solely at the discretion of Bsave. If we make no public announcement regarding an attempted fork, we will not support and distribute the new currency. In the event that a hard fork has a significant consensus among the community and businesses, it is also possible that we only support the hard forked currency and do not support the legacy currency anymore.

If our customers wish to split their tokens after such a hard fork, it is necessary that they withdraw their funds prior to the fork date. We are neither liable for any damages resulting from a hard fork, nor will we return any funds accidentally deposited from a currency that our system does not support.

16. Governing Law

15.1 This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

15.2 All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

This User Agreement (“Agreement” or “Terms and Conditions”) is a contract between you (“you,” “your” or “user”) and BSave a private limited company incorporated in England and Wales (“BSave,” “we”, “us” or “our”) and applies to your use of the BSave website and all services described herein (collectively, the “BSave Services”).

By registering to use BSave through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/privacy-and-policy/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. If certain features of the BSave Services are subject to additional terms, provisions or guidelines, they are incorporated herein by reference.

We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement. We may (a) modify or discontinue any portion of the BSave Services and (b) suspend or terminate your access to the BSave Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the BSave Services, or suspension or termination of your access to the BSave Services, except to the extent otherwise expressly set forth herein.

To be eligible to use the BSave Services, you must be at least 18 years old (or the applicable age of majority and contractual capacity). By accessing or using the BSave Services you represent and warrant that you are 18 or older.

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;

10. Limitation of Liability

16. Governing Law

Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

By registering to use BSave through the BSave website located at www.BSave.io, the BSave API, and/or any associated BSave-hosted websites or mobile applications (collectively the “BSave Site”), you hereby consent to be bound by the terms of this Agreement, the Privacy Policy, and the AML & CTF Policy (“Policies”) (available at: [https://www.bsave.io/privacy-and-policy/]), incorporated herein by reference. If you do not agree to any of the terms of this Agreement or the Policies, you may not access or use the BSave Services or any part thereof. If certain features of the BSave Services are subject to additional terms, provisions or guidelines, they are incorporated herein by reference.

We may amend or modify this Agreement by posting on the BSave Site or emailing to you the revised Agreement. Any revised Agreement shall be effective immediately upon your express approval, or one month after the date of posting except where the changes and modifications are required by law or on the instruction of a competent governmental agency. By continuing to access or use the BSave Services once the revised Agreement is effective, you agree to be bound by the Agreement. We may (a) modify or discontinue any portion of the BSave Services and (b) suspend or terminate your access to the BSave Services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the BSave Services, or suspension or termination of your access to the BSave Services, except to the extent otherwise expressly set forth herein.

To be eligible to use the BSave Services, you must be at least 18 years old (or the applicable age of majority and contractual capacity). By accessing or using the BSave Services you represent and warrant that you are 18 or older.

BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Agreement and its accompanying Policies to assess the specific risks posed by BSave’s innovative services and establishes specific controls to address those risks as required by law (this Agreement and its accompanying Policies apply whether a state’s law treats bitcoin as a currency or commodity).

PLEASE NOTE THE RISKS TO CONSUMERS POSED BY BITCOIN

The risk of loss in trading or holding bitcoin can be substantial. You should therefore be aware of the associated risks and carefully consider whether trading or holding bitcoin is suitable for you in light of your financial condition.

1. Access Conditions

1.1 Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, or any other codes that you use to access the BSave Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your BSave Account. We assume no responsibility for any loss that you may sustain due to compromise of your sensitive information. Immediately contact BSave Support at support@BSave.com of any unauthorized use of your account or any other breach of security.

1.2 You may not use your BSave Account to engage in the following categories of activity (“Prohibited Use”). By opening a BSave Account, you confirm that you will not use your Account to do any of the following:

  1. Violate or assist any party in violating any law, statute, ordinance, regulation, or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections);
  2. Partake in a transaction which involves the proceeds of any unlawful activity;
  3. Partake in any transaction involving online gambling except where permitted by BSave;
  4. Defraud or attempt to defraud BSave or other BSave users;
  5. Infringe upon BSave’s or any third party’s copyright, patent, trademark, or intellectual property rights;
  6. Provide false, inaccurate, or misleading information;
  7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;
  8. Interfere with another individual’s or entity’s access to or use of any of the BSave Services;
  9. Defame, abuse, harass, stalk, threaten, or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
  10. Transmit or upload any material to the BSave Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs;
  11. Harvest or otherwise collect information from the BSave Site about others, including without limitation email addresses, without proper consent;
  12. Act as a payment intermediary or aggregator or otherwise resell any of the BSave Services, unless expressly authorized by BSave in writing;
  13. Transfer any rights granted to you under this Agreement;
  14. Use the BSave Account information of another party to access or use the BSave Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s BSave Account and information;
  15. Otherwise attempt to gain unauthorized access to the BSave Site, other BSave Accounts, computer systems or networks connected to the BSave Site, through password mining or any other means; or
  16. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

1.3 The following categories of businesses, business practices, and sale items are barred from BSave Services (“Prohibited Businesses”). By opening a BSave Account, you confirm that you will not use BSave Services to accept payments in connection with the following businesses, activities, practices, or items:

  1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler’s checks, and escrow services
  2. Gambling, except where permitted by BSave
  3. Sports forecasting or odds making
  4. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same
  5. Funding any of the items included on this Prohibited Businesses list
  6. Any business that violates any law, statute, ordinance or regulation

1.4 Use of the Service may be subject to limitations, including but not limited to transaction volumes and the number of calls permitted to be made against BSave’s application programming interface. Any such limitations will be advised.

1.5 For the purpose of account security, BSave reserves the right to request additional information at any time to support the verification of user identities.

1.6 BSave reserves the right to lock or close accounts with no notice deemed as duplicate.

2. Intellectual Property Rights

2.1 All copyright, trademarks and other intellectual property rights in all material or content supplied as part of the BSave Site shall remain at all times vested in BSave. You are permitted to use this material or content only as expressly authorized in writing by BSave and may not agree nor assist or facilitate any third party to copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content. If you obtain BSave’s prior written consent, you may use and display BSave’s name and logo (“BSave Marks”) solely to attribute BSave.

3. Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”)

3.1 These specific AML & CTF Terms and Conditions apply to BSave Services. They are additional to and should be read together with the Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy for BSave Services.

If there is any inconsistency between them, these Specific Terms and Conditions take precedence over the BSave AML & CTF Policy to the extent of the inconsistency.

3.2 BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists.

BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate. In addition, BSave reserves the right to perform due diligence checks against the identification and verification of its users.

3.3 BSave reserves the right to withhold or delay the withdrawal of funds belonging to users who fail to comply.

3.4 BSave reserves the right to file Suspicious Activity Reports (SAR) in confidentiality to relevant government agencies.

4. Privacy Policy

4.1 Please refer to the BSave Privacy Policy, which forms part of these terms.

5. Electronic Records

5.1 By using the BSave Services, you agree that BSave may provide you with any notices or other communications about your BSave Account and the BSave Services electronically:

(a) via email (in each case to the address that you provide), text message, or telephone call (in each case to the phone number that you provide), or (b) by posting to the BSave Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
5.2 From time to time, BSave may engage third parties to assist BSave in providing certain aspects of the BSave Services (each, a “Service Provider”). Service Providers may include, but are not limited to; BSave’s banking partners and technology or engineering service providers.

6. Warranties and Representations

6.1 You acknowledge that:

  1. You are authorized to access and use the Website;
  2. If you are using the Website on behalf of or for the benefit of any organization then it is assumed that you have the right to do so. The organization will be liable for your actions including any breach of these Terms;
  3. Your use of the Website and the Service is at your own risk. You agree that BSave is not liable for any damage, loss or harm arising out of your use of the Website and Service;

7. Service Performance

7.1 BSave gives no warranty about the Website. Without limiting the foregoing, BSave does not warrant that the Service will meet your specific requirements.

7.2 BSave does not warrant that the use of the Website will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Website, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. BSave is not in any way responsible for any such interference that prevents your access or use of the Website and the Service. BSave does not warrant that the Service will be timely, secure, or virus-free, and the results that may be obtained from the user of the Service will be accurate or reliable.

8. Profit Participation

8.1 A variable interest payment is paid on the funds deposited in your BSave account. Scheduled interest payment may be a single (1) bit. The variable interest is dependent upon several factors, including, but not limited to, the amount of funds deposited in your BSave account, the duration of deposit, and the loan margin market rate.

8.2 Interest payments can only be made by direct deposit to the BSave account holder’s self designated bitcoin address.

8.3 Interest will be applied to your account and compounded on a daily basis, in arrears, at a set time each day.

8.4 You may request a withdrawal at any time if the amount requested is within your BSave account balance and is more than 0.01 BTC. Withdrawals can only be made to the BSave account holder’s self designated Bitcoin address. Withdrawals are processed in several batches during any 24 hour period and will be normally returned to the BSave account’s self designated address within 24 hours.

9. Indemnification

9.1 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless BSave, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Website and/or Services; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third party right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

10. Limitation of Liability

10.1 In no event will BSave, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) or interruption of use or loss or corruption of data. BSave shall have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

11. Termination & Remedies for Breach of these Terms by You

11.1 If you violate any portion of this Agreement, your permission to access and use the BSave Services may be terminated pursuant to this Agreement. In addition, we reserve the right to all remedies available at law and in equity for any such violation. “BSave.io”, “BSave”, and all logos related to the BSave Services or displayed on the BSave Site are either trademarks or registered marks of BSave or its licensors.

11.2 We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. We reserve the right to cancel and/or suspend your BSave Account immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business or in any such circumstances as BSave, in its sole discretion, considers reasonably necessary or appropriate.

12. Absence of Waiver

12.1 Any failure or delay by us to enforce any of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver to any extent of our rights.

13. Force Majeure

13.1 We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement and shall not affect the validity and enforceability of any remaining provisions where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.

14. Survival

14.1 All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, BSave Account cancellation, debts owed to BSave, general use of the BSave Site, disputes with BSave, and general provisions, shall survive the termination or expiration of this Agreement.

15. Blockchain hard fork

A blockchain hard fork is defined as a permanent divergence in the blockchain that occurs when nodes follow different consensus rules. This means that a crypto currency will be effectively split into two separate independent currencies. Due to the administrative complexity of distributing and splitting a hard forked currency in our system, support of any forked currency is solely at the discretion of Bsave. If we make no public announcement regarding an attempted fork, we will not support and distribute the new currency. In the event that a hard fork has a significant consensus among the community and businesses, it is also possible that we only support the hard forked currency and do not support the legacy currency anymore.

If our customers wish to split their tokens after such a hard fork, it is necessary that they withdraw their funds prior to the fork date. We are neither liable for any damages resulting from a hard fork, nor will we return any funds accidentally deposited from a currency that our system does not support.

16. Governing Law

15.1 This Agreement and any matter arising from or in connection with it shall be governed and construed in accordance with the law of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with this Agreement. Each party agrees that the service of process in any such action or proceeding may be affected in accordance with section 15.2 of this Agreement.

15.2 All notices, requests, demands, and other communications under this Agreement shall be in writing and in English. All such notices, requests, demands, and other communications shall be sent to the addresses set forth in the first page of this Agreement (or to such other addresses which a party shall designate in writing to the other party in accordance with this section).

Anti-Money Laundering (“AML”) and Counter Terrorist Financing (“CTF”) Policy

BSave’s (“BSave” or the “Company”) Anti-Money Laundering Policy and Counter Terrorist Financing Policy (collectively the “AML/CTF Policy”) is designed to articulate Bsave commitment to detecting, preventing and reporting attempts to use its financial services platform to illegally launder money, to finance illegal activities such as terrorism and drug trafficking, or to commit fraud.

BSave offers a financial services platform that allows a user to store securely bitcoins in a BSave account managed on BSave’s website. (“Savings services”).
BSave recognizes that decentralized and distributed digital currency and payment systems in which payments are processed and secured by advanced cryptography and distributed computing power instead of a central bank, corporation or government pose a risk of illegal uses (as do all financial systems). BSave believes, however, that the legitimate use of math-based currency networks provides untold benefits and efficiencies within the global economy. Accordingly, BSave has implemented this Policy and its accompanying AML Program to assess the specific risks posed by BSave innovative services and establishes specific controls to address those risks as required by law (this AML/CTF Policy applies whether a state’s law treats bitcoin as a currency or commodity).

The BSave AML/CTF Policy is designed to prevent money laundering by meeting the UK AML legislation obligations including the need to have adequate systems and controls in place to mitigate the risk of the firm being used to facilitate financial crime.1 The AML/CTF Policy fundamentals are as follows:

1. BSave appointed a Money Laundering Reporting Officer (MLRO) who has sufficient level of seniority and independence and who has responsibility for oversight of compliance with relevant legislation, regulations, rules and industry guidance;
2. BSave established and is maintaining a Risk Based Approach (RBA) towards assessing and managing the money laundering and terrorist financing risks to the company;
3. BSave established and is maintaining risk-based customer due diligence, identification, verification and know your customer (KYC) procedures, including enhanced due diligence for those customers presenting higher risk;
4. BSave established and is maintaining risk based systems and procedures to monitor on-going customer activity;
5. BSave has implemented procedures for reporting suspicious activity internally and to the relevant law enforcement authorities as appropriate;

(a) The Proceeds of Crime Act 2002 (POCA), as amended by the Serious Organized Crime and Police Act 2005 (SOCPA) and the Proceeds of Crime Act (Amendment) Regulations 2007; (b)The Terrorism Act 2000, as amended by The Anti-Terrorism, Crime & Security Act 2001 and the Terrorism Act (Amendment) Regulations 2007; (c) The Terrorism Act 2006; (d) The Money Laundering Regulations 2007; and (e) The Joint Money Laundering Steering Group (JMLSG) Guidance for the UK Financial Sector on the prevention of money laundering/combating terrorist financing.

6. BSave maintains records for minimum prescribed periods; and
7. BSave is training and raising awareness for all relevant employees.

BSave is prohibited from transacting with individuals, companies and countries that are on prescribed Sanctions lists. BSave will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate.

Please note, whilst BSave is currently unregulated and does not fall with the scope of the AML/CTF obligations in the UK, the senior management has taken measures to implement systems and procedures that meet the UK AML/CTF legislation as described above. This decision reflects the senior managements desire to prevent money laundering and prevent the use of the Services by criminals to launder proceeds of crime, despite BSave’s commitment to protect its users’ privacy.
BSave recognizes your right to confidentiality where your identity has been validated.  However, if, for whatever reason, BSave becomes suspicious of an attempt to launder money, BSave will actively assist the appropriate authorities in their efforts to detect it.  BSave also keeps comprehensive records of financial activity in order to assist the authorities in this regard.
